Michael Schwartzkopff

Michael Schwartzkopff studied law at the universities of Berlin, Saarbrücken and Münster.

He was admitted to the bar in 1998. Between 1998 and 2000, he was in-house counsel at the Düsseldorf Stock Exchange. Among other functions, he served as head of the securities admission commission. As a member of the commission for the examination of stock exchange traders, he also worked at the Frankfurt Stock Exchange.

In 2001, he joined a mid-sized law firm in Cologne. In 2006, he became founding partner of LLR.

Michael advises on corporate and capital markets law. One major area of his practice are capital measures, public and non-public placements of shares and debt securities, including the drafting of securities prospectuses. Furthermore, he advises issuers on the fulfillment of follow-up obligations resulting from being public.

In addition, he is specialized in conducting and assisting shareholders’ meetings of private and public companies. If requested, he performs the role of a neutral chairman at critical shareholders' meetings.

Michael also advises on M&A transactions, the drafting of articles of association and investor agreements. He has experience regarding acquisition and takeover offers under the German Securities Acquisition and Takeover Act (WpÜG) as well as regarding squeeze-outs and structural measures.

For more than 15 years, Michael has served as a member of the supervisory boards (including as chairman) of various companies, including listed companies.

He regularly publishes on corporate and capital market law. He is the author of the practitioner's handbook "Preparing and Conducting the Annual Shareholders' Meeting".

Michael is a founding member of the "Arbeitskreis deutscher Aufsichtsrat, AdAR e.V.".

Michael is married and father of two children. He enjoys open water swimming, fly fishing and cooking.
